That kind of lopsided shareholder signal is rare in small-cap bank land, and it creates a pressure cooker dynamic where the path of least resistance increasingly becomes a strategic review, a settlement with an activist, or an outright sale. With a pristine balance sheet, obvious cost takeouts for a local buyer, and a stock still trading below tangible equity, the setup is simple: any credible move toward “strategic alternatives” can collapse the discount quickly, and a formal process can force a clearing price that reflects the excess capital and franchise value instead of the board’s inertia.
